Partner Program Terms

These Program Terms and Conditions (the “Terms”) govern participation in the Aleph Partner & Referral Program (the “Program”) operated by Aleph Labs, Inc., a Delaware corporation (“Aleph,” “we,” “us”). By applying to or participating in the Program, you (“Partner,” “you”) agree to these Terms. If you do not agree, do not apply or participate.
1. Program Overview
The Program allows approved Partners to refer prospective customers to Aleph using unique tracking links. Partners may earn rewards when qualified referrals complete certain milestones, as described in Section 5. The Program is administered through our partner platform (currently powered by Dub) at partners.dub.co/getaleph (the “Partner Portal”).
2. Eligibility and Approval
- Participation requires an application and approval by Aleph. Aleph may approve or reject any application at its sole discretion and is not required to provide a reason.
- You must be at least 18 years old and legally able to enter into these Terms.
- Employees, contractors, and immediate family members of Aleph employees are not eligible unless approved in writing by Aleph.
- Aleph may suspend or remove any Partner from the Program at any time, with or without cause, including for suspected violation of these Terms.
3. Tracking and Attribution
- Upon approval, you will receive one or more unique tracking links through the Partner Portal.
- Referrals are attributed using a browser cookie with a 90-day attribution window. Aleph may change the attribution window prospectively at any time.
- A referral is attributed to you only if the referred individual clicks your tracking link and submits a demo or trial request within the attribution window.
- Attribution is determined solely by the Program’s tracking systems. Aleph is not responsible for missed attribution caused by cookie deletion, ad blockers, private browsing, cross-device activity, or other technical factors outside our control.
- Attribution follows a last-touch model. If multiple Partners refer the same prospect, the reward is awarded to the Partner associated with the last qualifying click, as determined by the tracking system. Aleph’s determination of attribution is final.
4. Qualified Referrals
To be eligible for rewards, a referred prospect must be a “Qualified Referral,” meaning all of the following as determined by Aleph:
- The prospect is a senior finance professional (manager level or above) and/or a decision-maker at their company; and
- The prospect’s company has 50 or more full-time employees or greater than $10 million in annual revenue; and
- The prospect is a new prospect not already in an active sales conversation with Aleph, not an existing Aleph customer, and not previously referred by another source.
Self-referrals, referrals of your own company, and referrals of affiliated entities you control are not eligible unless approved in writing by Aleph.
5. Rewards
Subject to these Terms, approved Partners may earn the following rewards:
- Qualified Meeting Reward: $100 (USD) when a Qualified Referral books an initial meeting with Aleph and that meeting takes place. The first meeting must actually occur for the reward to be approved.
- Closed Customer Reward: $1,000 (USD), one time per referred company, if a Qualified Referral’s company becomes a paying Aleph customer.
Rewards are one-time per referred company and non-transferable. Reward amounts, structures, and qualification criteria are subject to change at any time as described in Section 8.
6. Review, Holding Period, and Payouts
- All reward events are logged and subject to a 30-day review and holding period before approval.
- Aleph reviews each reward event against the qualification criteria. If an event does not qualify, it will be rejected and you will be notified of the reason. Aleph’s determination is final.
- Approved rewards become eligible for redemption through the payment method you configure in the Partner Portal.
- You are responsible for providing accurate payout information. Aleph is not responsible for payments sent to incorrectly configured payment methods.
- You are solely responsible for any taxes on rewards you receive. Required tax forms (e.g., W-9 for US partners, W-8 for non-US partners) are collected through the Partner Portal, and applicable tax reporting (e.g., 1099-NEC for US partners receiving $600 or more in a year) is administered through the partner platform. Payouts may be withheld until required tax forms are completed.
- Aleph may withhold, reverse, or reclaim rewards obtained through fraud, misrepresentation, or violation of these Terms.
7. Partner Conduct
You agree that you will not:
- Make false, misleading, or unauthorized claims about Aleph, its products, pricing, or performance;
- Represent yourself as an employee, agent, or official representative of Aleph;
- Send spam or unsolicited bulk communications, or violate any applicable marketing, privacy, or anti-spam laws (including CAN-SPAM, GDPR, and similar regulations);
- Bid on Aleph brand terms or trademarks in paid search, or register domains or social handles containing Aleph trademarks, without prior written approval;
- Use incentives, payments, or other inducements to generate referrals unless approved in writing by Aleph;
- Generate referrals through bots, scripts, fake identities, or any other fraudulent or artificial means; or
- Share, sell, or transfer your tracking links or Program account to any third party.
Violation of this section may result in immediate removal from the Program and forfeiture of pending and unpaid rewards.
8. Changes to the Program
The Program is new and evolving. Aleph may modify, suspend, or terminate the Program, or change these Terms, reward amounts, payment terms, or qualification criteria, at any time and for any reason. Changes apply prospectively and do not affect rewards already approved. Where changes affect payment terms, reward amounts, or qualification criteria, active approved Partners will be notified through the Partner Portal or the email associated with their account. Continued participation after a change constitutes acceptance of the updated Terms.
9. Relationship of the Parties
You are an independent participant in the Program. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and Aleph. You have no authority to bind Aleph or make commitments on its behalf.
10. Confidentiality and Data
- You may not disclose non-public information you receive about Aleph, its customers, or its prospects through the Program.
- You may only share tracking links with individuals with whom you have a genuine professional or personal relationship, and in compliance with applicable privacy laws.
- Personal data collected through the Program is handled in accordance with Aleph’s Privacy Policy and the privacy policies of our partner platform provider.
11. Disclaimers and Limitation of Liability
The Program is provided “as is.” Aleph makes no guarantee that you will earn any rewards. To the maximum extent permitted by law, Aleph’s total liability arising out of or related to the Program will not exceed the total rewards approved and payable to you in the six months preceding the claim, and Aleph will not be liable for any indirect, incidental, consequential, or punitive damages.
12. Term and Termination
Either party may end participation at any time. Upon termination, your tracking links will be deactivated. Rewards approved before termination remain payable unless termination was for fraud or violation of these Terms, in which case pending and unpaid rewards are forfeited. Sections 6, 9, 10, 11, and 13 survive termination.
13. General
- These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any dispute arising out of or relating to the Program will be resolved exclusively in the federal or state courts located in New York City, New York, and each party consents to the jurisdiction of those courts.
- These Terms are the entire agreement between you and Aleph regarding the Program and supersede any prior discussions.
- If any provision is unenforceable, the remainder stays in effect. Aleph’s failure to enforce any provision is not a waiver.
- You may not assign these Terms without Aleph’s written consent.
